Senior Living Debt Covenants and Lender Reporting: Staying Ahead of the Test
Whether a community is financed with a bank loan, a HUD-insured mortgage, bridge debt, or tax-exempt bonds, the loan documents almost always include financial covenants and recurring reporting. Missing a covenant can trigger default provisions, cash traps or higher pricing. Most covenant breaches are visible months in advance to an operator who calculates the ratios monthly.
Common senior living covenants
- Debt service coverage ratio (DSCR). Cash flow available for debt service divided by required principal and interest. Read the definition in your loan documents carefully; adjustments and the measurement period vary.
- Occupancy or census minimums. Often measured as an average over a trailing period.
- Days cash on hand. Unrestricted cash divided by average daily operating expenses, common in bond-financed communities.
- Liquidity or net worth requirements for the borrower or guarantor.
Build a covenant dashboard
Calculate every covenant monthly, exactly as the loan agreement defines it, on a trailing basis. Add a forward-looking view using the census forecast, so the board sees where each ratio is heading for the next two or three test dates. A ratio trending toward its limit is the moment to act on pricing, labor or spending, and to talk to the lender early.
The lender package
A clean package includes the financial statements, census and occupancy detail, the covenant calculation with its supporting schedule, a short variance narrative, and any capital spending updates. Delivered on time and consistent from quarter to quarter, it builds the credibility that matters most when a refinance or waiver request comes along.
